Terms of Service

The terms that govern your access to and use of EduNinja.

1. Agreement to these Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Eduninja Limited ("EduNinja", "we", "us", or "our"). They apply when you access or use eduninja.net and any related website, application, learning tool, content, or service that links to these Terms (together, the "Services").

EduNinja began as an education project in 2021 and is now operated by Eduninja Limited, incorporated in Hong Kong in 2025.

By creating an account, purchasing a plan, or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle personal information, and our Copyright Claims policy explains how to report material that may infringe your rights.

2. Eligibility and accounts

You must be legally able to enter into this agreement. If you are under the age at which you can consent for yourself where you live, a parent or guardian must review and accept these Terms for you and supervise your use of the Services.

Provide accurate account information and keep it up to date. You are responsible for protecting your sign-in credentials and for activity under your account. Tell us promptly at service@eduninja.net if you believe your account has been accessed without permission. You may not sell, transfer, or share an account in a way that bypasses a plan limit or puts the account or Services at risk.

3. Access to the Services

Subject to these Terms and any applicable plan limits, EduNinja grants you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Services for learning and educational purposes. Features, content, usage limits, and availability may differ by course, location, device, or plan.

We may improve, add, remove, suspend, or discontinue parts of the Services. Where a change materially affects a paid service, we will provide any notice or remedy required by applicable law.

4. Learning content and AI features

EduNinja provides study materials, practice tools, explanations, and AI-assisted features for educational use. AI-generated responses and other learning content may be incomplete, inaccurate, outdated, or unsuitable for your circumstances. Check important answers against your syllabus, teacher guidance, and authoritative sources before relying on them.

The Services do not replace professional educational, legal, medical, financial, or other specialist advice. You remain responsible for how you use any answer, recommendation, or output.

5. Your content and third-party rights

You may submit prompts, answers, files, images, or other material ("Input") and receive generated or processed material ("Output"). You retain the rights you already hold in your Input. You give us permission to host, process, transmit, and display it as needed to operate, secure, and improve the features you choose, as described in our Privacy Policy.

You must have the rights and permissions needed to submit Input. Output may not be unique and may resemble output provided to other users. Any rights you may have in Output are subject to applicable law and the rights of others. EduNinja cannot grant you rights in exam papers, textbooks, images, trademarks, or other third-party material. Access to material through the Services does not by itself permit redistribution, publication, or commercial reuse.

6. Acceptable use

You may not use the Services to:

  • break the law or infringe another person's rights;
  • upload malicious code, harmful material, or content that exploits, abuses, or endangers a child;
  • impersonate another person, misrepresent your identity, or obtain access without permission;
  • scrape, crawl, copy, or extract content or data through automated means except where we have expressly authorised it;
  • reverse engineer, interfere with, overload, probe, or bypass the security or usage limits of the Services, except where applicable law expressly permits that activity; or
  • resell, sublicense, or provide the Services to others without our written permission.

We may investigate suspected misuse and take proportionate steps to protect users, rights holders, and the Services.

7. Plans, payments, cancellation, and refunds

Some features require payment. The checkout page shows the plan, billing period, price, currency, taxes, payment method, and whether the purchase renews automatically. Those checkout details form part of these Terms. You authorise us and our payment provider to charge the payment method you select for the amount shown.

If a plan renews automatically, it will renew for the period and price disclosed at checkout until cancelled. You can cancel through the account or payment-provider controls made available to you, or contact service@eduninja.net. Unless the checkout terms or applicable law say otherwise, cancellation takes effect at the end of the current paid period and does not create a refund for time already used.

Refund requests are assessed under the terms shown at purchase and applicable consumer law. Contact us with the account email, order reference, and reason for the request. Nothing in these Terms limits any non-waivable consumer right or statutory refund right.

8. EduNinja intellectual property

The Services, including our software, design, branding, original content, and underlying technology, are owned by EduNinja or its licensors and are protected by intellectual-property laws. Except for the limited right to use the Services granted above, these Terms do not transfer any ownership right to you.

If you send feedback or suggestions, you allow us to use them without restriction or compensation, while you retain ownership of any rights you may have in the feedback itself.

9. Third-party services

The Services may link to or work with third-party services, including payment, hosting, analytics, authentication, and AI providers. Their own terms and privacy notices may apply. We are not responsible for a third-party service that we do not control, but this does not exclude responsibility that cannot lawfully be excluded.

10. Suspension and termination

You may stop using the Services at any time. We may restrict, suspend, or terminate access if you materially or repeatedly breach these Terms, create a security or legal risk, fail to pay an amount due, or where we are required to do so by law. Where appropriate and legally required, we will give notice and a reasonable opportunity to address the issue.

Provisions that by their nature should survive termination—including provisions about intellectual property, payment obligations, disclaimers, liability, and disputes—will continue to apply.

11. Disclaimers and limitation of liability

To the fullest extent permitted by law, the Services are provided "as is" and "as available". We do not promise that every feature or item of content will always be available, uninterrupted, secure, or error-free, or that every learning result or Output will be accurate or complete.

To the fullest extent permitted by law, EduNinja and its directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, data, goodwill, or business opportunity arising from your use of the Services. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12. Governing law and general terms

These Terms and any dispute arising from them are governed by the laws of Hong Kong, without regard to conflict-of-law principles. The courts of Hong Kong will have non-exclusive jurisdiction, except where applicable consumer law gives you the right to bring a claim elsewhere.

If a provision of these Terms is found unenforceable, the remaining provisions will continue to apply. A delay in enforcing a provision is not a waiver. These Terms, together with any terms shown for a specific feature or purchase, form the agreement between you and EduNinja about the Services.

We may update these Terms as the Services or legal requirements change. We will post the revised version here and update the date above. We will provide additional notice before a material change takes effect where required by law.
